CVS Health Corporation (CVS, Financial) has announced significant changes to its Board of Directors and executive compensation structure, as detailed in a recent Form 8-K filing. On November 17, 2024, the company entered into a confidentiality agreement with Glenview Capital Management, LLC, which includes provisions for sharing confidential information and expanding the Board by four members. Similarly, Prem S. Shah, appointed as Executive Vice President and Group President, will have an annual base salary of $1.1 million, a target annual bonus of $1.925 million, and a long-term incentive award opportunity of $9 million.

The company has also approved one-time promotion stock awards for Mr. Joyner and Mr. Shah, and a retention award for Tilak Mandadi, Chief Digital, Data, Analytics, and Technology Officer. These awards are structured as premium-priced stock options and time-vesting restricted stock units, designed to align the interests of the executives with those of the shareholders and ensure long-term commitment to the company's growth objectives.
