On October 31, 2024, NextEra Energy, Inc. (NEE, Financial) announced the successful sale of $1.5 billion in equity units to prominent financial institutions including J.P. Morgan Securities LLC, Mizuho Securities USA LLC, and Goldman Sachs & Co. LLC. This strategic financial maneuver is designed to bolster the company's capital structure and enhance its shareholder base.

The equity units, initially composed of Corporate Units, require holders to purchase NextEra Energy common stock within a three-year timeframe, at a price per share ranging from $82.87 to $103.58. Each unit comprises a stock purchase contract and a 5% undivided beneficial ownership interest in a Series O Debenture, due November 1, 2029, issued by NextEra Energy Capital Holdings, Inc. (NEECH).

These equity units offer an attractive annual distribution rate of 7.234%, which includes interest on the debentures and payments under the stock purchase contracts. The holders are obligated to complete the stock purchase by November 1, 2027, with the option to use proceeds from a successful remarketing of the NEECH debentures to fulfill their purchase commitments.

Upon settlement of the stock purchase contracts, NextEra Energy will receive cash and issue the corresponding number of common stock shares. The debentures are backed by a guarantee from NextEra Energy, ensuring a level of security for investors. The equity units were registered under the Securities Act of 1933, reinforcing the company's commitment to regulatory compliance and transparency.
